STUDENT AND ACADEMIC STAFF EXCHANGE AGREEMENT
between
UNIVERSITY OF SCIENCE AND TECHNOLOGY OF HANOI (USTH)
and
The Memorandum of Understanding (“MOU”) dated [ ] between University of Science and Technology
of Hanoi (USTH) and _ ( ) (collectively the “Institutions”)
documents the intention of the Institutions to engage in a general program of cooperation for mutual benefit This Appendix to the MOU is a separate and legally binding agreement, and documents the arrangements for the exchange of students and academic staff in USTH and members of _
A Definitions
“Host Institution” refers to the Institution at which the student is accepted for placement or to which an
academic staff member shall visit during a staff exchange;
“Home Institution” refers to the Institution at which the student will receive his/her degree and will
remain officially enrolled during the exchange placement, or at which an academic staff member is a full-time employee
B Visiting Research Practicum Program:
1 During the term of this agreement, each Institution agrees to accept undergraduate or graduate short-term research students (“Research Students”) for a period of research with the approval of both a supervisor from the Host Institution and a supervisor from the Home Institution
2 The period of the Research Student exchange:
- at USTH shall normally be for three to six months, but shall not exceed twelve months
- at _, shall normally be for three to six months, but shall not exceed twelve months
3 The Research Student program is open to qualified undergraduate and postgraduate students who have successfully completed no less than two academic years (for 3-year Bachelor program) and one academic semester (for Master program) at the Home Institution at the time of application Students must complete a formal application form for the Host Institution and satisfy normal requirements for admission
4 The Host Institution will provide a final written confirmation to the Home Institution in the form of an Offer Letter to Research Students Research Students must accept the Offer Letter by signing and returning the Acceptance of Offer Form provided with the Offer Letter
5 The Host Institution will provide the Home Institution with the relevant documentation, with the Student’s written consent, to enable the Research Student to obtain an appropriate visa

6 The research project of the Research Student will be agreed in advance with the appropriate supervisors at both the Home and Host Institutions
7 The Host Institution will provide the Research Student with appropriate access to the necessary research facilities and will make information available to Research Students to allow them to complete the research internship Research Students must have appropriate access to the necessary literature, research observations and research supervision, such that this will allow them to complete the project to the satisfaction of the Home Institution The fund for Student Research to do the research internship will be upon the funding policy and availability of the Home Institution and/or Host Institution
8 The Home Institution will make Research Student aware that they must adhere to the Host Institution’s policy with regard to all matters of conduct and behavior, and also to the handling of confidential information
9 All intellectual property created or discovered by any participating Research Student within the research project at the Host Institution (including visiting Research Students), may belong to the Host Institution, depending on that Host Institution’s policies
10 Visiting Research Students are expected to abide by the same rules and regulations as those for all staff and students at the Host Institution, and also those rules that govern matters from the Home Institution If these rules and regulations are violated in any way, either party will have the right to terminate the internship, but only after consultation with the other party
11 During the course of the internship, the supervisor from the Host Institution will provide guidance in relation to progress, time management and any problems or bottlenecks that arises and affect the research project This may also include reading and providing comments on the first draft of a thesis or report However, the Home Institution is responsible for providing primary supervision of each Research Student It will be the responsibility of Home Institution supervisor to ensure that the Research Student satisfies requirements of the Home Institution, as it relates to the research project, and to ensure that the final thesis/report is a standard commensurate with these requirements
12 Upon conclusion of the internship period, the Research Student is under obligation to submit an appropriately written thesis/report to both Institutions, as defined by the Home Institution If the Host Institution request the Home Institution or the Research Student to keep the report (or thesis) confidential, for any reason, then this request will be obeyed until such time as the material is released into the open literature
13 The Host Institution has no financial obligation to either the Research Student or the Home Institution Accordingly, the interned Research Student’s status is neither that of an employee of the Home Institution, nor does he/she work for the Host Institution If the Host Institution decides to grant the Research Student an allowance or reimbursement of expenses, the Host Institution and the Research Student will decide upon the terms and conditions by way of written statement and signed by the Host Institution and the Research Student
14 Each party agrees that it will notify its own participating Research Students that:
(a) it is the full responsibility of the visiting Research Student participant to ensure that he/she has full medical and liability insurance, the cost of which will be paid by the participating Research Student;
(b) in the event that an accident/sickness etc should occur, if the Research Student has failed to fulfill his or her responsibility outlined in clause 14 above, the Host Institution will not be held responsible for any costs incurred by the Research Student;
Trang 3Logo of Partners (c) all related costs will be the sole responsibility of the Research Student; and
(d) all travel arrangements and associated living expenses, domestic and foreign, shall be the responsibility of the participating Research Student
15 The Host Institution reserves the right to terminate the internship at any time that the Research Student or the Home Institution fail to meet any of the obligations set down with the MOU Similarly, the Home Institution reserves the right to terminate the internship at any time that the Research Student or the Host Institution fail

C Semester exchange student
1 In addition to the Visiting Research Students, each Institution agrees to accept a limited number of exchange
students (“Exchange Students”) to participate in the usual academic program offered by the Host Institution In
the first instance this number will be limited to two Exchange Students per semester from each Institution However, the number will be agreed to in advance on an annual basis in order to maintain reciprocity The parties agree that semester Exchange Students must enroll full-time and must satisfy the normal admission requirements and language pre-requisites of each subject or course in which they wish to enroll, as determines
by the Host Institution All subjects or courses undertaken are to be approved by the Home Institution of each Exchange Student prior to the exchange commencing
2 The academic performance records of each Exchange Student will be sent directly to their Home Institution, provided that the Host Institution has obtained the Exchange Student’s written consent to do so If an Exchange Student refuses to provide that consent, the Home Institution can refuse to accept that Exchange Student It will be the responsibility of the Home Institution to determine the amount of credit each Exchange Student may receive on the basis of subjects or courses undertaken during the exchange
3 The Parties agree that all Exchange Student will be subject to the rules and procedures as specified in the Host Institution’s handbooks for the academic year in which they enroll, and the parties will notify the Exchange Students of this requirement
4 Both Institutions will assume responsibility for assisting Exchange Students to find appropriate accommodation, either on or off campus, providing applications are received by the due date The Parties agree to notify the Exchange Students that:
- For those who are living in on-campus residences at a Host Institution abide by the Host Institution’s rules, procedures and accepted standards or behavior of such residences; and
- All accommodation expenses shall normally be paid by the Exchange Student;
- All costs associated with exchanges shall be the responsibility of the Exchange Students involved;
- All travel arrangements and associated expenses, domestic and foreign, shall be the responsibility of the participating Exchange Student; and
- If that Exchange Student is a semester Exchange student, he or she will be required to have medical insurance
or a type and amount acceptable to the Host Institution, the cost of which will be paid by the Exchange Student

5 The Parties agree that the Exchange Student will pay to the Home Institution the full tuition and other fees required for the period of exchange In return, Exchange Students will have tuition fees waived at the Host Institution The Host Institution shall notify Exchange Students in advance of any additional costs will be responsibility of the participating Exchange Students
1 Both Institutions agree to explore opportunities for staff exchanges between each Institution These exchanges are aimed at increasing the strength of existing linkages between the two Institutions by fostering collaboration in both teaching and research
2 In the case of teaching exchanges, both Institutions agree to explore and facilitate opportunities for appropriate academic staff to undertake short-term exchanges (not exceed months), during which such staff will contribute to the teaching program of the Host Institution This contribution may involve teaching in lecture or laboratory environments, curriculum development, sharing of appropriate expertise and resources, and other administrative areas
3 In the case of research exchanges, both Institutions agree to explore and facilitate opportunities for appropriate academic staff to undertake short-term exchanges (not exceeding twelve months), during which such staff will participate in collaborative research within a designated laboratory within the Host Institution Such exchanges will occur following the mutual consent of the visiting staff member and the primary supervisor of the Host Institution’s research laboratory or department
4 In the case of research exchanges, all intellectual property created or discovered by any participant (including visiting academic staff) within a research project that was initiated and funded by the Host Institution, shall normally de dealt with as follows, provided such dealings comply with the Host Institutions’ relevant policies:
- the intellectual property shall belong to the Host Institution; and
- licences to use such intellectual property shall be addressed on a case by case basis; and
- in all appropriate cases, if the contributions of visiting academic staff to the relevant project are sufficient, those academic visiting academic staff will generally acknowledged by the Host Institution through co-authorship of resulting reports and publications
5 The funding for visiting academic staff will be based on the financial policy and regulation of Host Institution
On the side of USTH, visiting academic staff from _coming for giving lectures will be covered international airfare, accommodation and allowances upon USTH’s financial regulation Other expenses of medical insurance and coverage, and other expenses will be at the arrangements of the visiting academic staff

6 The parties agree that the visiting academic staff, member shall retain his/her employee status within the Home Institution, and will not generally be considered as an employee of the Host Institution However, the visiting staff member is expected to abide by:
- the same rules and regulations as those for all staff at the Host Institution, and
- applicable rules from the Home Institution
If these rules and regulations are violated in any way by the visiting academic staff member, either party will have the right to terminate the exchange visit, but only after consultation with the other party
E Support and Duration of Agreement
It is understood that both parties shall support and promote the spirit of this agreement and facilitate as much
as possible the academic progress, physical relocation and cultural orientation of all relevant students and/or staff
The obligations of the parties under this agreement are only for the participant students and/or staff, and do not include spouses or dependents of those students and/or staff
This Agreement shall become effective upon signing by both parties and its implementation will begin as soon
as both Institutions have selected qualified and appropriate individuals ready to participate in any exchange This Agreement will be valid for five years and will be renewed subject to mutual agreement by both parties Either party can terminate this agreement by
- Providing at least 12 months notice to the other party; or
Revisions or modifications may be proposed at any time, but are only binding if agreed in writing and signed by the authorized delegate of each party in writing
