Thank you for visiting my blog You are welcome to join me in great expeditions to the most dramatic and exuberant landscapes in the world This is a follow-up to my earlier Latin American tour After the Amazon rainforest and the Peruvian Machu Picchu, you are about to unveil the secrets of the Atacama Desert in northern Chile
Day 1
A group of five Germans, three Australians and two Japanese people arrived at Santiago airport I introduced myself and made sure that they had a hot meal in one of the greatest restaurants in town We then had a Santiago city tour so that they could see some tourist attractions They particularly liked the Municipal Theatre of Santiago and the Contemporary Art Museum They were impressed with the presidential palace, which is called Palacio de La Moneda I drove them to the hotel where they had a good night’s sleep
Day 2
After breakfast, we checked-out of the hotel and headed for the north Yes, we were going to the Andes Mountains The Andes is 4,300 miles long and it is considered the world’s longest mountain chain Its altitude is quite impressive too - a mountain is about 13,000 feet high The Andes are found in seven Latin countries: Venezuela, Colombia, Ecuador, Peru, Bolivia, Argentina and Chile If you feel like exploring the Andes, then you should be prepared for a long journey in a range of Spanish-speaking countries We decided to stop and put up our tents for the night before we made our way up to the mountain
Day 3
After our first night’s camping, we got into the van and I drove them through the first Andean hills and mountains The road was quite clear – well, we wouldn’t expect it to have a traffic jam However, there were loads of slippery stones so I had to drive very slowly It was also very foggy in the morning and it made it even more difficult for me to drive there Later on, the sun came out and we could see a stunning sunset from the hill
It really made our day
Day 4-6
Everyone was really excited as we got ready to hike Can you guess the destination? We were about to climb up the Mount Aconcagua This is the highest mountain in the Andes and it is 22,841 feet above sea level As we went up, the wind got stronger and colder and even oxygen was rarer After we put up our tents, two tourists started having breathing problems I always carry my first-aid oxygen supplement so I helped them to restore normal breathing The next day went on smoothly, especially when we made our way down
Day 7
It was time to get into another car and drive to the Atacama Desert As we were going north in late October, the tourists could watch the incredible ‘Flowering Desert’ phenomenon The rocky desert is transformed into a wonderful carpet of colourful flowers which range from lion paw to cactus In the evening, we set up our tents and had

A Shareholders’ Agreement
In order to write a Shareholders’ Agreement, you should follow the procedures below:
A Make sure that you have the correct information about the parties, including shareholders’ names, ID number and their inscription in the roll of individual taxpayers, address, city and country You should use the term ‘hereinafter referred to as’ and their first names
B Consider the purpose of the agreement What is it aimed to? Is it intended to define the roles and responsibilities of the shareholders? Or it is related to their pre-emptive rights regarding their corporate shares? You should take into account that this document may complement a Company’s By-Laws or a Private Instrument of Purchase and Sale Commitment for Acquisition of Shares and Other Matters This section should be written under the heading of ‘Definitions’
C Once the ‘Definitions’ are written, you should evaluate the ‘Assumptions’ What type of company is it? What goods do they sell or what type of service do they offer? What is the shareholders’ participation in the company capital stock? Are they having any voting rights? These questions shall be answered in clauses and you should provide as much information as possible
D The Shareholders’ General Meeting is crucial to the company’s management and it shall take place monthly, bimonthly, quarterly, half-yearly or annually It is at the discretion of the Company and it is included in its By-Laws Nevertheless, the rules shall be governed by the Shareholders’ Agreement as it includes their voting rights It is important to state that the agenda is pre-approved by the shareholders prior to the General Meeting Moreover, they should be informed about a meeting via written notice
E You should also include a clause on Management and Corporate Governance As far as management is concerned, decisions shall be made based on the shareholders’ voting rights and pre-emptive rights They shall have the right of appointing members of the Executive Board and Board of Directors and their decisions shall have effect on the entire corporation
F It is also important to note the rights and obligations on sale and purchase of shares This clause will address issues such as ‘tag along’, i.e the possibility of joint sales, and its obligations, which are referred to as ‘drag along’ You may also consider the possibility of acquisition of shares by third parties, in case no party has interest in acquiring shares and assets
