After discussion, the following terms and conditions have been mutually agreed:

ARTICLE 1: DESCRIPTION

- Offset printing (8pages) – Lamination two sides – Couche 300 paper

- Transparency printing (3 pages)

- Spray paint on 24 pages

ARTICLE 2: DELIVERY TIME AND PLACE

ARTICLE 4 : TERM OF PAYMENT

- Payment by Cash or TTR to seller’s account No.: with ACB Bank at 442 Nguyen Thi Minh Khai Str., District 1, Ho Chi Minh City, within 10days after checking and taking over the finished products

ARTICLE 5: GOODS DELIVERY

Buyer will control the goods delivered if they are met the requirements approved.If the quality or/and quanlity or/and quantity is failed, Supplier

is required to sign the confirmation of goods quality as well as quantity Supplier engages to compensate for breaking of the contract or produce again the goods in the shortest time

ARTCLE 6: RESPONSIBILITIES

In case one of the two parties unilaterally terminates the signed contract, this party should be subjected to a penalty rate of 10% of the undone contract value

ARTCLE 7: CONFIDENTIALITY& INTELLECTUAL PROPERTY RIGHT:

All information relevant to the performance of this contract must be under confidentiality.Any intellectual property right of the Buyer should not been used for or released to the third party without the buyer’s

authorization

The supplier agrees and undertakes that it shall not engage any person under the age of 15 years old for all or part of the performance of the contract.The engagement of persons between the age of 15 old and 18 years old shall be subject to the requiremens of the code of Labor Law of Vietnam Any failute of (the supplier) to comply with the above shall result in immediate termination of the contract without prejudice to any damages, the Buyer may claim as a result of early termination of the contract without prejudice to any damages, the Buyer may claim as a result of early termination of the contract

ARTCLE 8: GENERAL ARTICLE

The performance process of this contract should be imformed positively

in order to get the best result.Any amendments and alterations of the

terms of this contract shall be mutually agreed and made in writing.All disputes not reaching an amicable agreement shall be settled by

Nay term and condition not mentionned in this contract should be

referred to the current economic stipulations of government.after full receipt of goods or servies and payment is made, this contract is

automatically liquidated

This contract comes into effect from the signing date and is made into 02 copies of the same value.One copy for each Party
