On June 21st, 2017, State Securities Commission of Vietnam (SSC) received the Private placement documents to capitalize the loan of No Va Land Investment Group Corporation (the Company) with stock ticker of NVL according

to the registration form dated June 15th, 2017 and supporting documents until June 26th, 2017 SSC has the following opinions:

- SSC has disclosed information related to the Private placement of the Company on SSC’s Website:

- The Private placement for loan conversion was implemented in accordance with the General Meeting of Shareholders’ Resolution No 07/2017-NQ-NVLG dated April 27th, 2017 and the Board of Directors’ Resolution

No 25/2017-NQ-NVLG dated June 15th, 2017;

- SSC required the Company to comply with regulation of private placement in accordance with Article 4, Article 7

of Decree No 58/2012/NĐ-CP dated July 20th, 2012 and being amended by Sub Article 3, Sub Article 6 Article 1

of Decree No 60/2015/NĐ-CP and the regulation of capital contribution of holding company and its subsidiaries according to Sub Article 2 Article 189 of Law on Enterprises
