1 Điều khoản: Tên Hàng (Commodity)

Cấu trúc: Nơi xuất xứ + tên hàng, chất lượng hàng + loại + mùa vụ thu hoạch Nơi xuất xứ: Vietnam, China, Ukraine…

Tên hàng: Ground kernels; Robusta coffee beans; white rice long grain, 5%

broken; Urea Fertilizer

Loại: Grade 1, grade 2…

Mùa vụ: nếu trong câu hỏi ghi ngày giao hàng là tháng 12 năm 2014 thì ghi “crop

in 2014”, riêng mặt hàng cà phê thì ghi “crop in 2013-2014”

2 Điều khoản: Quy cách/Chất Lượng (Quality)

Cách ghi: Theo mẫu hoặc theo hàm lượng chất chủ yếu Nếu đề bài không ghi gì thì nên ghi theo mẫu Riêng mặt hàng phân bón thì ghi theo hàm lượng chất chủ yếu

3 Điều khoản: Số lượng (Quantity)

Cấu trúc: Số tấn + MTS + ±1% + at seller’s/buyer’s option Nếu đề bài ghi: “Trên cương vị là người xuất khẩu” thì ghi “at seller’s option” và ngược lại

Ex: 10,000MTS ± 1% (at seller’s option)

4 Điều khoản: Bao bì, ký mã hiệu (Packing)

Đối với Gạo: làm giống hợp đồng gạo Đối với Cà phê, Lạc nhân:

Packing: In strongly sewn new single jute bags of … kgs net with tare weight of … grs each Shipment in … CTNS x 20’ of … kgs FCL

Phần Marking thì làm giống trong hợp đồng mẫu

Đối với Phân Bón:

Packed in uniform new Polypropylene (PP) bags with Polyethylene (PE) inner liner of … kgs net weight with tare weight of … grs each, double

machine sewn at the mouth strong and suitable for export and able to withstand ordinary wear and tear to port of destination

Lưu ý thay đổi số liệu tùy theo đề bài cho, với:

- Net weight: trọng lượng tịnh

- Tare weight: trọng lượng bao bì

- Gross weight: trọng lượng cả bì (=net + tare)

5 Điều khoản: Giá cả (Price)

Cấu trúc: Unit price: USD …/MT , điều kiện giao hàng (FOB/CIF)

Lưu ý: dấu phân cách các số là “,”

6 Điều khoản: Giao hàng (Shipment)

Cấu trúc:

- Time of shipment

- Port of loading

- Port of discharging

- Partial shipment: Not allowed

- Transhipment: Not allowed

- Inspection: Shipped weight and quality at the load port by …(Vina Control nếu người xuất khẩu là VN – China/Ukraine Control nếu người xuất khẩu là nước khác) to be final

- Notice of shipment:

+ Before….(xem lưu ý) + Within….(xem lưu ý)

- Loading/Discharging Terms: (xem lưu ý)

Lưu ý:

1 Phần Từ “Time of shipment” đến “Inspection”:

- Điều kiện FOB: Không ghi: Transhipment, Port of discharging

- Điều kiện CIF: Ghi đầy đủ

2 Phần “Notice of Shipment” và “Loading/Discharging Terms”:

- Điều kiện FOB và số lượng hàng nhỏ hơn 3000 tấn:

 Deadweight Capacity (DWC)

 Draught

 ETD, ETA + Within 2 days after date of B/L, the Seller shall notify by cable or fax to the Buyer the following information:

 Name and number of vessel

 ETD, ETA

 B/L date and number

 Commodity, Quantity, and Quality of goods

 L/C date and number (nếu phương pháp thanh toán là L/C)

+ Loading terms: giống trang 104,105/tài liệu

- Điều kiện CIF và số lượng hàng nhỏ hơn 3000 tấn:

+ Before the sailing date of carrying vessel to …(nước người mua)…, the Seller shall notify by cable or fax to the Buyer the following information:

 Name and number of vessel

 B/L number and date

 ETD, ETA

7 Điều khoản: Bảo Hiểm (Insurance)

- Nếu là FOB: Insurance: To be covered by the Buyer

- Nếu là CIF: giống ví dụ/92 tài liệu

8 Điều khoản: Thanh toán (Payment)

- Phương thức TTR (hoặc M/T):

+Payment: TTR at sight after receipt of payment documents (nếu trả

chậm là “at 90 days after B/L date):

issued by Bao Viet Insurance Company.(chỉ ghi câu này khi đây là điều kiện CIF)

- Phương thức C.A.D: tất cả đều làm như trên giống TTR nhưng thời hạn

luôn là trả ngay

- Phương thức D/A(trả chậm) và D/P(trả ngay):

+ Payment: D/A at 90 days after B/L date ( nếu là D/P thì “D/P at sight

before receipt payment documents”)

ngày ký hợp đồng + 7 ngày (date of issue) + 21 ngày (period for presentation) + thời hạn giao hàng Ví dụ: ngày ký hợp đồng là

23/12/2011, giao hàng trong thời hạn 30 ngày thì Date and place of

expiry sẽ là 23/12/2011 + 7 + 21+ 30 = 19/2/2012] [còn chữ “in

Vietnam”có nghĩa là “tại nước nhà nhập khẩu”, nếu nước nhập khẩu là nước khác thì sẽ thay đổi]

- Period for presentation: Within 21 days after B/L date but within the

validity of the credit

- Payment documents:

 3/3 (full set) of originals clean B/L on board marked FREIGHT

PREPAID (điều kiện CIF là Freight Prepaid – FOB là Freight Collect), made out to order of Vietcombank, Ho Chi Minh City Branch(tên ngân hàng người nhập khẩu) and notify the

Buyer

Bao Viet Insurance Company and endorsed in blank (chỉ ghi câu này khi đây là điều kiện CIF)

 Beneficiary’s Certificate that one full set of non-negotiable shipping documents have been sent by DHL to the Buyer
