LEGAL SERVICE CONTRACT

This contract (herein after referred to as “Contract”) is made and enterred into on   [date/month/year] by and between:

Party   A   wishes   to   retain   a   qualified   law   firm/consultant   to   assist   Party   A

NOW, THEREFORE, Party A and Party B HEREBY agree to enter into this Contract   under following terms and conditions:

Article 1. Scope of the Contract

Article 3 Obligations of Party A

In order to facilitate Party B in legal service,  Party A is obliged to:

Authorize Party B to conduct any/all works indicated in the scope of this   Contract.

Provide  any  neccessary  document(s) and  information  at  the  request  of   Party B.

Create   favorable   conditions   for   Party   B   to   disscuss/deal   with   related   expert(s) and national or local State authorities in the course of contract   performance.

Party A shall pay service fee to Party B as agreed in Article 5 below.

Article 4 Work schedule and contract term:

Hereby, the parties mutually agree the following work schedule:

Completing and finalizing application file;

Lodging application file to competent authorities;

Following up and reviewing the approval/licensing progress of competent   authorities:

Obtaining results from compentent authorities;

Upon   obtaining   result,   lodging   any   other   application   file   (if   any)   to   compentent authorities;

Following   up   and   updating   consideration   and   approval   process   of   competent authorities;

   4.2 Th i gian d  tính /   ờ ự  Term of service

Given that Party A  provides required information and documents in full and on   time and closely coordinate with Party B in the course of service performance,   term of service is as follows:

Application   preparation   shall   be   finished   by   Party   B   within   working   days   as   from   the   date   of   receipt   of   all   required   information and documents from Party A.

Waiting time for any approval and/or certification of competent authorities   regarding   shall   be   working   days   as   from   the   date of receipt of application file by such authorities.

Article 5 Service fee and payment

First payment: An amount of  shall be paid by Party A to  Party B within  days as from the signing date;

Article 6 Tax and fees

The foregoing service fee is exclusive of 10% Value­Added­Tax (VAT), statutory fees,   actual expenses for stationery, communication, travel, accommodation, etc (if any). 

Any tax, fees or expenses incurred on or before the date of payment request sent by Party  

B shall be charged in such payment request

Article 7 Assignment

The parties mutually agree that either party has right to assign its rights and obligations   herein to the third party if it is agreed by the parties. 

Article 8. Effectiveness, amendment and termination of services 

This Contract takes effect as from the signing date.

This Contract may be amended and modified only by a written instrument signed  

by the parties. 

This Contract shall be terminated in the following cases :

The parties mutually agree to terminate this Contract. In this case, the   terms or conditions for contract termination shall be agreed by the parties.

Article 9 Confidentiality

Any communication, exchange of information and documents and agreements between the   parties shall be considered as their private properties and shall be confidential. Any   disclosure by a party must be consent in advance by the other party.

Article 10 Dispute settlement

Any   dispute   arising   from   this   Contract   shall   be   settled   by   negotiation   If   failure   to   negotiate, the parties shall request competent court of Vietnam to settle.

Article 11 Counterparts

This Contract shall be made into two (02) sets of originals in English and Vietnamese   with the same validation. Each party shall keep one (01) set.
