Board Meeting Minutes

February 14, 2019

A regular meeting of the Board of Trustees of Northeastern Illinois University was convened on Thursday, February 14, 2019 at 2:07 p.m in the Student Union Room 115 South at 5500 N St Louis Avenue, Chicago, IL Wes Becton, Chair of the Board, called the meeting to order

Roll was called and the following Trustees answered present: Carlos Azcoitia, Wes Becton,

Bob Biggins, Barbara Fumo, Marvin Garcia, Elena Molloy, Jim Palos, Jonathan Stein, and George Vukotich

Trustees not present: Sherry Eagle

Also present: Gloria Gibson, President; Melissa Reardon Henry, Vice President for Legal

Affairs and General Counsel (by phone); Karl Voigt, Assistant Secretary to the Board; Vice Presidents; staff, and community members

Approval of the Minutes

The minutes from the November 15, 2018 board meeting and the January 16, 2019 Academic/Student Affairs and Enrollment Management Committee meeting were presented to each Trustee prior to this meeting No further additions or corrections were recommended and the minutes stand as written

President’s Preliminary Announcements

 Dr Gibson announced the upcoming February 25, 2019 Daniel L Goodwin Distinguished Lecture Series guest speaker will be legal researcher and environmental activist, Erin Brokovich

 Dr Gibson announced that she and Executive Director for Government Relations, Dr Suleyma Perez, both attended the recent gubernatorial inauguration festivities in Springfield for newly elected governor, J B Pritzker

 Dr Gibson announced the University’s fundraising success with the recently concluded Transforming Lives Campaign There will be a celebration event on Wednesday March

27, 2019 from 3:00 – 5:00 p.m on the main campus

Opportunity for Public Comment in Accordance with Public Act 91-0715

Chair Becton announced the Opportunity for Public Comment There was one individual who requested approved to speak

1 Jennifer Sevilla: AFSCME Local 1989 representative

Topic: to highlight the importance of ongoing contract negotiations, now at eight months

Convene in Closed Session

At 2:18 p.m., Trustee Vukotich, seconded by Trustee Azcoitia, moved to convene in closed session Discussion in closed session may include personnel, real estate, and litigation matters The roll was called and Trustees agreed to convene in closed session

Reconvene in Open Session

At 2:43 p.m., Trustee Vukotich, seconded by Trustee Azcoitia, moved that the board re-convene

in open session Roll was called and Trustees agreed to re-convene in open session

Board Committee Reports

Chair Becton announced that the Board of Trustees held its committee meetings immediately prior to this board meeting There are no matters that require board action today

President’s Report

The entire President’s Report is incorporated herein by reference

Information Item II E Transforming Lives Campaign and Spring 2019 Event

President Gibson introduced Liesl Downey, Vice President for Institutional Advancement, to present highlights from and a summary of the recently concluded Transforming Lives Campaign The goal of the campaign was $10 million The completed campaign raised $12.7 million, which increased the endowment by 74% The campaign added 76 new scholarships, expanded support for faculty research activities, and added substantially to the Foundation’s donor base VP Downey reiterated Dr Gibson’s earlier announcement of the upcoming campus event on March 27

General Counsel’s Report

Chair Becton announced that the General Counsel’s Report was distributed to the Trustees prior to the meeting Trustees had an opportunity to ask questions during closed session and the report stands as submitted

Chair Becton asked if there was any old business

New Business

Chair Becton asked if there was any new business

Trustee Azcoitia, seconded by Trustee Fumo, moved to approve the destruction of verbatim records from the executive session portion of the June 15, 2017 Board of Trustees meeting

Discussion: There was no discussion

Roll was called and the vote was as follows:

Azcoitia – Yes Biggins – Yes Fumo - Yes Molloy – Yes Stein – Yes Becton – Yes Eagle – N/P* Garcia – Yes Palos – Yes Vukotich – Yes

* not present for the vote

The motion carried

Trustee Palos, seconded by Trustee Stein, moved that the confidential written minutes of the executive session portion of the Board of Trustees meeting held on January 23, 2018 and February 8, 2018 no longer require confidential treatment and are available for public inspection

Discussion: There was no discussion

Roll was called and the vote was as follows:

 Finance, Buildings and Grounds Committee Meeting is scheduled for

Thursday March 21, 2019 at 3:00 p.m in the Student Union Room 216

Adjourn

At 2:54 p.m., Chair Becton asked for a motion to adjourn the meeting Trustee Azcoitia, seconded by Trustee Palos moved to adjourn the meeting The meeting was adjourned by acclamation
