ARTICLE 3: CONDITIONS AND TERMS OF DELIVERY

3.1 Time of Delivery: The goods must be shipped within 12 weeks from date of

contract

3.2 Port of Loading: Hai Phong Port in Hai Phong, Viet Nam

3.3 Destination Port: Shanghai Port in China

3.4 Earlier Shipment: Allowed

3.5 Consignee: HAOCHI CO., Ltd.

3.6 Upon Delivery, any Goods found defective, undelivered or not compliant with

specifications by the Buyer shall be replaced within 04 to 06 weeks at most by the Seller and all the cost thereof are for the Seller's account

3.7 The Seller shall notify the Buyer: by fax or email at least seven days prior to

shipment of the goods that goods are ready for delivery with following documents: apre-shipping advice (Estimated date of shipment and Estimated date of arrival)

3.8 Within 5 working days from the date of shipment, the Seller shall send to the

Buyer one set of following shipping documents copy by email:

3.8.1 Clean Bill of Lading marked "Freight collect" for term of shipment

3.8.2 Signed Commercial invoice

3.8.3 Detailed Packing lists

3.8.4 Certificate of origin issued by the Chamber of Commerce

3.8.5 Certificate of Quality issued by the Manufacturer

ARTICLE 4: PAYMENT TERMS

4.1 Payment from HAOCHI CO to VEELYCHEE shall be made by L/C 3 months from the date of receivement.

ARTICLE 5: ARBITRATION and LAW:

In case of any controversy, claim or dispute arising out of or relating to the contract,

or the breach thereof, the Parties shall meet each other and use their best efforts to find

an amicable settlement

In case of failing agreement, the matter shall be finally settled in accordance with the rule of Conciliation and Arbitration of the International Chamber of Commerce by one

or more arbitrators designed in conformity with thoase rules In their deliberation on thr International Chamber of Commerce will refer to Incoterms 2000 and the law of Socialist Republic of Vietnam

Arbitration fees and other administrative fees of each Party shall be decided by the Arbitration

This contract enters into force after signing by both parties

Lychee is planted on standard farm and inspected by Plant Protection Department Vietnam, satisfying regulations of phytosanitary and food safety conditions

Exported lychee batch must be packed and sterilised with Methyl Bromide at organizations recognized by Plant Protection Department and Ministry of Agriculture, Forestry and Fisheries Japan with minimum dosage is 32 g/m3 within 02 hours under supervision of a phytosanitary executive and enclose with Phytosanitary Certificate
